1.1 Quotation & Validity
All pricing is provided on a per-quotation basis, based on the scope, volume, origin, destination, and urgency of the requested logistics or commodity supply service. Written quotations are valid for seven (7) calendar days from the date of issue, unless otherwise stated.
1.2 Exclusivity of Pricing
All prices are quoted exclusive of Value-Added Tax (VAT), customs duties, port charges, insurance, or any third-party levies, unless explicitly included in writing. These will be itemised separately on the final invoice.
1.3 Price Adjustments
Arya Group SA reserves the right to adjust pricing should there be material changes in: fuel or freight surcharges; exchange rates (for cross-border transactions); government-imposed tariffs or regulatory fees; or scope of work/volumes requested by the client. Any adjustment will be communicated in writing before execution of the service.
2.1 Service-Based Refunds
As Arya Group SA provides logistics coordination, verification, and trading facilitation services, refunds are assessed on a case-by-case basis and are not automatic.
2.2 Eligible Refund Scenarios
A refund may be issued only if: (a) Arya Group SA fails to deliver a verified service that was contractually committed and fully paid for in advance; and (b) the client provides written notice of the failure within five (5) business days of the scheduled service date.
2.3 Non-Refundable Items
Refunds will not be granted for: third-party costs already disbursed (e.g., shipping lines, customs brokers); client-initiated cancellations (see Section 3); or delays caused by force majeure, port congestion, or government actions.
2.4 Refund Processing
Approved refunds will be processed via the original payment method within fourteen (14) business days of approval. The client will receive written confirmation.
3.1 Client-Initiated Cancellation
Clients may cancel a service order by providing written notice via email to hello@aryagroup.co.za.
3.2 Cancellation Fees
3.3 Cancellation by Arya Group SA
We reserve the right to cancel an order if: the client fails to provide necessary documentation or verifications within agreed timelines; or force majeure events make performance impossible. In such cases, any advance payments (less incurred third-party costs) will be refunded.
4.1 Scope of Services
Arya Group SA provides logistics coordination, supplier verification, commodity sourcing facilitation, and supply chain advisory services. All services are performed with reasonable skill and care in accordance with South African commercial standards.
4.2 Client Obligations
The client agrees to: provide accurate, complete, and verifiable information; respond to verification or due diligence requests within forty-eight (48) hours; ensure they have the legal authority to enter into the transaction; and make all payments as per the agreed schedule.
4.3 Verification & Due Diligence
We operate on a "verify-first" principle. All parties, goods, and documentation are subject to internal and, where necessary, third-party verification before any service is executed. We reserve the right to decline or pause services if verification is inconclusive.
4.4 Limitation of Liability
To the fullest extent permitted by South African law: Arya Group SA acts as a facilitator and coordinator, not as a principal carrier or insurer of goods. Our total aggregate liability for any claim arising from our services shall not exceed the total service fee paid for that specific transaction. We are not liable for indirect, consequential, or punitive losses, including loss of profit or business interruption.
4.5 Force Majeure
We shall not be held liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to: acts of God, war, strikes, port closures, government regulations, or supplier defaults.
4.6 Dispute Resolution
Any dispute arising from these terms shall first be referred to senior management of both parties for amicable resolution within ten (10) business days. If unresolved, the dispute shall be submitted to arbitration in Johannesburg, South Africa, in accordance with the Arbitration Act of South Africa.
4.7 Governing Law
These Terms of Service are governed by the laws of the Republic of South Africa.
5.1 General
Arya Group SA acts as a logistics coordinator and facilitator. Where physical goods are shipped, we engage reputable third-party carriers. This policy governs the delivery process and is aligned with the Consumer Protection Act 68 of 2008 (CPA).
5.2 Delivery Areas & Timeframes
We deliver within South Africa and, where agreed in writing, internationally. Delivery timeframes are estimates and communicated per quotation. Standard delivery is typically 3–7 business days depending on location. Delays caused by factors beyond our control (e.g., weather, courier delays, force majeure) do not entitle the client to a refund or penalty.
5.3 Risk & Ownership Transfer (CPA Compliance)
In accordance with Section 19 of the CPA, risk in the goods remains with Arya Group SA until delivery is completed. Risk passes to the client upon delivery and signature of receipt by the client or their authorised representative [citation:3][citation:14].
5.4 Damaged or Incorrect Deliveries
If goods arrive damaged or incorrect, the client must: (a) note the issue on the courier’s delivery manifest; (b) take photographs; and (c) notify us within 48 hours of delivery. Failure to do so may limit our ability to claim from the courier [citation:3][citation:14].
5.5 Failed Deliveries
If delivery fails due to incorrect address or unavailability of the recipient, re-delivery or storage fees may apply and will be for the client’s account.
5.6 Force Majeure
We are not liable for delivery delays or failures caused by circumstances beyond our reasonable control, including natural disasters, strikes, or government actions.
